These terms govern how we work together. Written to be read, not archived — fair to both sides, clear on expectations.

Acceptance of terms

By accessing ajaykajla.in or engaging our services — whether through the contact form, email, WhatsApp, or a signed project agreement — you agree to be bound by these Terms of Service.

If you are entering these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have that authority, or if you disagree with any part of these terms, do not use our services.

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the revised terms. The "Last updated" date at the top reflects the most recent revision.

Services

ajaykajla.in is an independent AI-first engineering studio. Services include, but are not limited to:

  • Website development — design, build, and delivery of web properties.
  • Mobile applications — iOS and Android apps from MVP to scale.
  • AI automation — custom agents, workflows, and integrations using large language models and related tooling.
  • UI/UX design — research-led interface and experience design.
  • Digital marketing — SEO, paid media, lifecycle, and content.
  • Hosting and maintenance — managed infrastructure, monitoring, and ongoing optimisation.
  • White-label delivery — execution on behalf of agencies and partners under their brand.

Specific deliverables, timelines, and fees for any engagement are agreed in a separate project brief or Statement of Work, which supplements and takes precedence over these general terms.

Project engagements

Every project begins with a brief and a mutual agreement on scope, timeline, and budget. Key terms of engagement:

Scope

Work outside the agreed brief is treated as a change request. We scope, price, and confirm changes in writing before proceeding.

Revisions

Each deliverable includes a fixed number of revision rounds as specified in the brief. Additional rounds are billed at day rate.

Timelines

Delivery dates assume timely feedback and approvals from your side. Delays in client responses shift delivery dates accordingly.

Dependencies

We flag third-party dependencies (APIs, credentials, design assets) at project start. Their unavailability may affect timelines.

We work iteratively — you see real progress early and often, not just at the end. Feedback during builds is encouraged; material direction changes post-approval are treated as change requests.

Payment

Payment terms are set per engagement. Unless otherwise agreed in writing:

  • Fixed-price projects — 50% due at project kickoff, 50% upon final delivery before handover.
  • Retainer engagements — invoiced monthly in advance, due within 14 days of invoice date.
  • Day-rate work — invoiced weekly, due within 7 days.
  • Late payments — invoices unpaid beyond the due date accrue interest at 2% per month. Work may be paused until outstanding amounts are cleared.
  • Currency — invoices are issued in INR by default; USD or GBP available for international clients by prior agreement.
No surprises. If a project is likely to run over budget due to scope growth, we flag it before incurring the additional cost — never after.

Intellectual property

Ownership of deliverables is transferred to the client upon receipt of full payment. Until that point, all work product remains the property of ajaykajla.in.

  • Client materials — any content, brand assets, data, or code you provide remains your property throughout the engagement.
  • Third-party components — work may incorporate open-source libraries or licensed tools. We disclose these and ensure their licences are compatible with your intended use.
  • Portfolio rights — unless you request otherwise in writing, we reserve the right to display completed work in our portfolio and case studies, with appropriate confidentiality around sensitive business details.
  • Pre-existing IP — tools, frameworks, and processes we developed independently remain ours. Clients receive a perpetual, royalty-free licence to use them as integrated into their project.

Confidentiality

We treat all client information — business strategy, financials, technology, and user data — as strictly confidential. This obligation applies both during and after the engagement.

Where a formal NDA is required, we sign it before receiving any sensitive materials. For engagements that proceed without a formal NDA, these terms serve as the confidentiality baseline.

We expect the same confidentiality in return: any proprietary methods, tooling, pricing, or processes we share during the engagement should not be disclosed to third parties.

Limitation of liability

We take our work seriously and stand behind it. However, to the extent permitted by law:

  • Consequential losses — we are not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunity, even if advised of their possibility.
  • Maximum liability — our total liability under any engagement is capped at the fees paid to us for that specific project in the three months preceding the claim.
  • Third-party services — we are not liable for failures, outages, or policy changes of third-party platforms (hosting providers, APIs, social platforms) that affect your project.

This limitation does not exclude liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.

Termination

Either party may terminate an engagement with 14 days' written notice. In the event of termination:

  • Work completed to the date of notice is invoiced at the agreed rate and payable within 14 days.
  • All client materials and completed deliverables are returned or handed over promptly.
  • Deposits are non-refundable once work has commenced, except where we are in material breach of our obligations.

We reserve the right to terminate immediately — without notice or refund — if a client engages in unlawful activity, harassment, or material breach of these terms.

Governing law

These terms are governed by the laws of India. Any disputes arising from or related to these terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.

Before escalating any dispute to formal legal proceedings, both parties agree to make a genuine effort to resolve the matter through direct negotiation within 30 days of the issue being raised in writing.
